1. Represents shares of restricted stock that vest over a three year term in equal installments and upon the occurrence of certain change of control events.

Remarks:

This Form 3 amendment is being filed to correct the original Form 3 filed on June 15, 2020. The original Form 3 inadvertently omitted the amount of securities beneficially owned by Mr. Stepanek upon his appointment as Executive Vice President and COO.
