Explanation of Responses:

1. The Reporting Person was granted a Restricted Stock Unit under the Issuer's 2021 Stock Option and Incentive Plan (the "2021 Plan") for 29,000 shares on 12/11/2021, of which 25% vest on 9/9/2022, and the remaining shares vest in 36 equal monthly installments thereafter subject to the Reporting Person continuing to have a service relationship as of each such vesting date.

2. These options were granted under the 2021 Plan and vest (i) 25% on 9/9/2022 and (ii) with the remainder vesting in 36 equal monthly installments thereafter subject to the Reporting Person continuing to have a service relationship as of each such vesting date.
