NARRATIVE
State below in reasonable detail the reasons why Form 10-K, 11-K, 20-F, 10-Q, N-SAR or the transition report or portion thereof could not be filed within the prescribed time period.
Watermark Group, Inc. (the “Company”) is filing this Form 12b-25 with the Securities and Exchange Commission (the “Commission”) to postpone the filing of its Quarterly Report on Form 10-Q for the quarterly period ended July 31, 2016 (the “Form 10-Q”) beyond September 14, 2016, the prescribed due date for such filing. As disclosed in the Company’s Current Report on Form 8-K filed with the Commission on September 7, 2016, the control block of the Company was transferred to Double Grouper, LLC on August 29, 2016. The Company is filing for additional time to finalize the Form 10-Q due to the transition from prior management to current management. The Company is unable to complete and file with the Commission the Form 10-Q by September 14, 2016, without unreasonable effort or expense. The Company expects to file the Form 10-Q with the Commission within five calendar days of the original prescribed date.
