Explanation of Responses:

1. On July 29, 2016, the Pier 1 Imports, Inc. Stock Purchase Plan purchased in a transaction exempt under Rule 16b-3(c), 1,525.8789 shares of common stock for July 2016 contributions credited to the reporting person's account. Such shares were purchased at the closing price of the Issuer's common stock on the New York Stock Exchange for July 29, 2016.

2. Deferred stock units pursuant to a Director Deferred Stock Unit Award for non-employee Directors granted under the Pier 1 Imports, Inc. 2015 Stock Incentive Plan. The deferred stock units are with respect to the deferred non-employee director compensation for July 2016, pursuant to the Issuer's non-employee director compensation plan, as amended. The deferred stock units were credited to the reporting person's deferred stock units account which account is maintained by the Issuer, on July 29, 2016 and are to be settled within five (5) business days after the person ceases being a member of the Board of Directors. Each deferred stock unit is the economic equivalent of one share of the Issuer's common stock.
