For your convenience, we have repeated below the Staff’s comments in bold and have followed each comment with the Company’s response.

We believe that Section 3(a)(9) exempts from registration the issuance of our common stock upon a cashless exercise of warrants because:
(a) | The securities are exchanged into securities of the same issuer; |
(b) | The exchange is available only to existing security (warrant) holders of the issuer; |
(c) | The terms of the cashless exchange provide that the warrant holder does not pay any commission or other remuneration at the time of the exchange (other than the securities being exchanged) at the time of exchange; and |
(d) | The exchange does not involve the payment of compensation for soliciting the exchange. |
In particular, we believe that a cashless exercise of warrants is not considered a payment of any commission or other remuneration because the Division of Corporate Finance, in question 132.13 to its Compliance and Disclosure Interpretations to the Securities Act Rules, stated that the analysis of a cashless exercise is similar under Rule 144(d)(3)(x) and Section 3(a)(9).
In that regard we believe that the exemption under Section 3(a)(9) is available to the cashless exercise of our warrants, and the common stock issuable upon such exercise would not be restricted. (The securities received under a Section 3(a)(9) exchange assume the character of the exchanged securities. See Compliance and Disclosure Interpretations to the Securities Act Sections, Question 125.08.)
