Explanation of Responses:

1. The price reported represents the weighted average sale price of the shares sold. The prices of the shares sold in the transaction ranged from $38.511 to $38.514. The Reporting Person hereby undertakes, upon request of the Staff of the U.S. Securities and Exchange Commission, the Issuer or a security holder of the Issuer, to provide full information regarding the number of shares sold at each separate price.

2. On November 17, 2014, the Issuer effected a one-for-four reverse stock split of its Common Stock (the "Reverse Split"). The amount of securities beneficially owned was adjusted by dividing by four to reflect the Reverse Split.
