Explanation of Responses:

1. On May 16, 2018, the Compensation Committee of the Board of Directors of the Issuer approved the award of fully-vested stock to the Reporting Person under the Issuer's Amended and Restated Stock Incentive Plan (the "Plan") with a grant date of June 4, 2018, subject to the terms and conditions of the Plan and the relevant award agreement. This award was for no consideration other than service as a member of the Issuer's Board of Directors.

2. This disposition transaction represents shares withheld by the Issuer in connection with the Award to satisfy the Reporting Person's tax withholding obligations.
