Explanation of Responses:

1. As a result of Mr. Cho's ownership in Greenlaw International LP, a Delaware limited partnership (the "Fund"), and his ownership in Greenlaw International GP LLC, a Delaware limited liability company and the general partner of the Fund which has the right to receive an allocation of a portion of the profits of the Fund, Mr. Cho may be deemed to have a partial indirect pecuniary interest in the shares of Common Stock of Destiny Media Technologies Inc. directly held by the Fund (the "Indirect Shares").

2. Mr. Cho disclaims beneficial ownership of the Indirect Shares except to the extent of his pecuniary interest therein.

3. This report shall not be deemed as an admission that Mr. Cho is a beneficial owner of the Indirect Shares for purposes of Section 16 or any other purpose.

4. The Stock Options vest in quarterly installments over a two-year period beginning July 25, 2023.
