Explanation of Responses:

1. Pursuant to a special resolution, passed by the shareholders of Arq Limited on June 17, 2024 and for the purpose of effecting the wind-down of Arq Limited as contemplated by the Securities Purchase Agreement, dated February 1, 2023, by and between Arq, Inc. (f/k/a Advanced Emissions Solutions, Inc.) (the "Issuer") and Arq Limited, on November 20, 2024, Arq Limited distributed its remaining held shares of the Issuer's common stock, par value $0.001 per share, to its shareholders. The shares were distributed without the payment of any additional consideration.

2. The shares reported on this row are held by Allard Services Limited. Julian McIntyre, a Director of the Issuer, controls Allard Services Limited and therefore is an indirect beneficial owner of the securities reported herein.

3. The shares reported on this row are held by MWB Limited, which is controlled by Allard Services Limited. Julian McIntyre, a Director of the Issuer, controls Allard Services Limited and therefore may be deemed to be an indirect beneficial owner of the securities reported herein.

4. The shares reported on this row are held by Markham Fuels Management Limited. Julian McIntyre, a Director of the Issuer, controls Markham Fuels Management Limited and therefore may be deemed an indirect beneficial owner of the securities reported herein.

5. The shares reported on this row are held by Stannard Limited. Mr. McIntyre's spouse controls Stannard Limited and therefore Mr. McIntyre may be deemed to be an indirect beneficial owner of the securities reported herein.
