Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.
On February 24, 2012, New Mountain Finance AIV Holdings Corporation (“AIV Holdings”) filed an Amended and Restated Certificate of Incorporation with the Secretary of State of Delaware. The Amended and Restated Certificate of Incorporation of AIV Holdings, which was approved by AIV Holdings’ board of directors and its sole stockholder, reduced the total amount of shares of all classes of capital stock which AIV Holdings will have the authority to issue to 100 shares of common stock, par value $0.01 per share. The Amended and Restated Certificate of Incorporation of AIV Holdings is attached hereto as Exhibit 3.1 to this Current Report on Form 8-K and is incorporated herein by reference.
