Explanation of Responses:

1. On July 28, 2017, the Reporting Person was appointed as Senior Vice President of the Issuer and acquired 1,500,000 shares of Issuer's common stock pursuant to a private consulting agreement. The shares were acquired at a cost basis of $0.033 per share.
