Explanation of Responses:

1. On August 3, 2017, the Reporting Person elected to make a bonafide gift of 200,000 shares to her daughter. Because reporting Person maintains voting and investment control over the securities gifted, the Reporting Person remains an indirect beneficial owner of the gifted shares.

2. The Reporting Person directly owns 1,300,000 following the gift reported herein, and is the indirect beneficial owner of 200,000 shares held by her daughter.
