Explanation of Responses:

1. Represents restricted stock units ("RSUs") granted to the Reporting Person under the American Capital Mortgage Investment Corp. Amended and Restated Equity Incentive Plan (the "Plan"). The common stock underlying the RSUs will vest, subject to certain limitations, on May 19, 2017.

2. Includes 117.12, 265.95, 243.40 and 288.80 dividend equivalents on unvested RSU awards previously granted under the Plan and shares of stock reinvested pursuant to the reinvestment of cash dividends declared by the Company to holders of record of common stock as of 3/31/2015, 6/30/2015, 9/30/2015 and 12/31/2015, respectively.
