Dear Shareholders:
As you may know, Vertical Capital Income Fund was unable to reach a quorum to hold our 2019 Annual Meeting of Shareholders and the meeting was adjourned until September 30, 2019. The main reason why we are forced to adjourn the annual meeting and to continue to spend money and resources on the vote is because Bulldog Investors has intentionally withheld its voting on the green card in an effort to prevent the annual meeting from occurring.
Bulldog has demonstrated that it cannot be trusted.
Despite promising shareholders who vote on Bulldog’s proxy card that their vote willnot be withheld for quorum purposes if shareholders vote “Against” this proposed scheme, Bulldog has failed twice to attend, or have its proxies voted at, the Annual Meeting on the originally scheduled date of August 30, 2019 and the date of the first adjournment. Bulldog disenfranchised these shareholders and demonstrated that it cannot be trusted to follow shareholders’ voting instructions.
Please vote today to allow the Annual Meeting to happen. There is still time!
We need your vote to be able to hold our annual meeting! We strongly encourage you to please vote today using the enclosed WHITE proxy form.
Even if you wish to vote against or abstain on any of the proposals, we can help you cast your vote.Just please vote! Unlike Bulldog, we will continue to submit all the voting that is cast on our WHITE card.
