1. This sale was effected pursuant to a Rule 10b5-1 trading plan adopted by the reporting person on 6/14/18.

2. The price reported in Column 4 is a weighted average price. The shares were sold in multiple transactions at prices ranging from $43.68 to $44.40. Full information regarding the number of shares sold at each separate price can be furnished to the SEC staff upon request.

3. A portion of these shares were reported in prior Form 4s as owned directly by the reporting person. However, these shares are all owned in the name of The Corey-Bloom Family Trust, originally established on September 4, 1990 and amended and restated on September 10, 2015 ("The Corey-Bloom Family Trust").

4. The reporting person and his wife are co-trustees and co-beneficiaries of The Corey-Bloom Family Trust.
