1. Shares are held by The Brian P. McKeon Revocable Trust, dated April 12, 2007 and amended and restated on February 8, 2019 (the "Brian P. McKeon Trust"), of which the reporting person and his wife are the trustees and members of the reporting person's immediate family are the beneficiaries.

2. Each restricted stock unit represents a contingent right to receive one ordinary share.

3. This award is fully vested in accordance with its terms.
