Explanation of Responses:

1. Reflects shares of Mama's Creations, Inc. (the "Company") common stock ("Common Stock") acquired by the Reporting Person through the cashless exercise of options to acquire 50,000 shares of Common Stock, pursuant to which 10,916 shares of Common Stock were withheld by the Company on the date of the exercise to pay the exercise price and tax withholding obligations, resulting in 39,084 shares of Common Stock being issued to the Reporting Person on a net basis.

2. These shares consist of 84,074 shares held by Milvia Burns, Mr. Burns' wife and 1,136,839 shares held by Point Prospect, Inc.
