Explanation of Responses:

1. The shares will vest in three equal installments beginning on the first anniversary of the date of grant.

2. Each performance share represents a contingent right to receive an ordinary share of Delphi Automotive PLC, and will vest based upon the achievement of specified performance criteria, with a performance period from January 1, 2017 to December 31, 2019.

3. The reporting person's dividend equivalent right ("DER") holdings have been updated to reflect the correct number of DERs owned following the accrual and conversion of DERs with respect to outstanding awards of restricted stock units.
