Explanation of Responses:

1. The dividend equivalent rights accrued with respect to an outstanding award of restricted stock units. Each dividend equivalent right is the economic equivalent of one ordinary share.

2. Reflects an antidilution adjustment to the number of dividend equivalent rights held by the Reporting Person, which antidilution adjustment was made prior to the payment of these dividend equivalent rights, in connection with the spin-off of Delphi Technologies PLC from the Issuer on December 4, 2017.

3. Reflects additional dividend equivalent rights accrued with respect to achievement in excess of target of specified performance criteria for the 2015-2017 performance period.
