1. This sale was effected pursuant to a Rule 10b5-1 trading plan originally adopted by the reporting person on March 15, 2023 and amended on May 8, 2023 and August 11, 2023. A majority of the proceeds from this sale will be used to cover the reporting person's tax liability arising from the vesting of restricted stock units.

2. The price reported in Column 4 is a weighted average price. These shares were sold in multiple transactions at prices ranging from $65.69 to $66.62, inclusive. 6. The price reported in Column 4 is a weighted average price. These shares were sold in multiple transactions at prices ranging from $66.36 to $67.32, inclusive. 7. Each restricted stock unit represents a contingent right to receive one share of common stock.
