The name of the issuer is Prospect Flexible Income Fund, Inc., an externally managed, non-diversified, closed-end management investment company that has elected to be regulated as a business development company under the Investment Company Act of 1940, as amended (the “1940 Act”), and is incorporated in the State of Maryland (the “Company”); the address of its principal executive office is 10 East 40th Street, 42nd Floor, New York, New York 10016; and the telephone number of its principal executive office is (212) 448-0702.
(b) Securities. This Tender Offer Statement on Schedule TO relates to an offer by the Company to purchase up to the number of shares of the Company’s issued and outstanding Class A common stock, par value $0.001 per share (the “Shares”) that the Company can repurchase with the proceeds it receives from the issuance of Shares under its distribution reinvestment plan prior to expiration of the Offer (as defined below). As of September 17, 2020, there were 2,374,272 Shares issued and outstanding, and there were 1,037 holders of record of Shares. The Offer is for cash at a price equal to the net offering price per Share determined as of October 20, 2020 (the “Purchase Price”). The offer is made upon the terms and subject to the conditions set forth in the Offer to Purchase and the related Letter of Transmittal (which, together with any amendments or supplements thereto, collectively constitute the “Offer”). As an example of the calculation of the Purchase Price, the public offering price on September 17, 2020, the date of the commencement of this offer, was $9.33 per Share; the net offering price, which is the public offering price excluding the upfront sales load of 9.0%, would equal a Purchase Price of $8.49 per Share. The Purchase Price for Shares in this Offer may be higher or lower than this amount.
