Explanation of Responses:

1. Pursuant to the Agreement and Plan of Merger dated November 26, 2018 (the "Agreement"), by and between the Issuer and the People's United Financial, Inc. ("Purchaser"), each share of Issuer common stock was converted into and became exchangeable for the right to receive 2.0 shares of Purchaser common stock.

2. Each Phantom Stock Award (as defined in the Agreement), whether vested or unvested, shall be cancelled and converted automatically into the right to receive an amount in cash (rounded down to the nearest cent) equal to the Per Share Stock Consideration (as defined in the Agreement) in respect of each share of Issuer common stock underlying such Phantom Stock Award, less any applicable tax withholdings.
