Explanation of Responses:

1. The Company granted Ms. Floyd a restricted stock award of 6,675 shares of common stock which vests quarterly on the last day of each quarter retroactive to January 1, 2023. The shares vested are reduced by the number of unvested shares outstanding from Ms. Floyd's prior grant in October 2022 resulting in the vesting of 2,650 shares on June 30, 2023, 1,325 on September 30, 2023 and 2,700 on December 31, 2023, so long as Ms. Floyd is continuing to provide services to the Company.
