1. Each Series A Perpetual Preferred Unit is convertible into a number of common units of the Issuer equal to the original per unit $1,000 acquisition price (plus accrued and unpaid distributions) divided by $20.0115, subject to certain adjustments.

2. All Series A Perpetual Preferred Units held by the Reporting Person are convertible as of April 2, 2023. The Series A Perpetual Preferred Units are perpetual and therefore have no expiration date.
