Item 1.01 Entry into a Material Definitive Agreement.
The Company on April 15, 2019 entered into a LOI for the change of management and a control block purchase, subject to satisfactory due diligence with an open-ended closing date from 30 to 90 days from the date of this filing.
Item 4.01. Changes in Registrant’s Certifying Accountant
On February 25, 2019 the previous auditor Malone Bailey, 9801 Westheimer Road, Suite 1100, Houston, TX 77042, has resigned as the Company auditor.
On April 14, 2019, the Company has passed a board resolution and appointed a new auditor Casey G. Kinchen, CPA, Audit Partner, M&K CPAS, PLLC, 363 N. Sam Houston Parkway E. Ste 650, Houston, Texas 77060.
