1. The price in Column 4 is a weighted average price. The prices actually received ranged from $15.85 to $16.35. The reporting person has provided to the issuer, and will provide to any security holder of the issuer, or the SEC staff, upon request, information regarding the number of shares sold at each price within the range for all transactions reported in this Form 4 utilizing a weighted average price.

2. These stock-settled stock appreciation rights were previously granted under the Issuer's Long Term Incentive Plan and are scheduled to vest as to 50% on October 28, 2015 and 50% on October 28, 2016, subject to the terms of the plan and an award agreement under the plan.
