1. Vesting of restricted stock units granted to the Reporting Person on May 28, 2014.

2. Each restricted stock unit represents a contingent right to receive one share of WCG common stock.

3. The restricted stock units vested in full on May 11, 2015. Vested shares are delivered to the Reporting Person upon vest.

4. The restricted stock units vest in full on the earlier of May 11, 2016 and the date of the Registrant's next annual meeting of stockholders. Vested shares will be delivered to the Reporting Person upon vest.
