Item 5.07. | Submission of Matters to a Vote of Security Holders. |
FS Investment Corporation II (the “Company”) held its Annual Meeting of Stockholders (the “Annual Meeting”) on November 6, 2019. As of August 8, 2019, the record date for the determination of stockholders entitled to notice of, and to vote at, the Annual Meeting, 327,309,962 shares of common stock were eligible to be voted, and 240,138,883 of those shares were voted in person or by proxy at the Annual Meeting. Stockholders were asked to consider and act upon the following proposals (the “Proposals”), each of which was described in the Company’s joint proxy statement/prospectus, as amended, filed with the Securities and Exchange Commission on August 13, 2019 (the “Proxy Statement”):
• | Proposal No. 1 – the approval of the transactions contemplated by the Agreement and Plan of Merger, dated as of May 31, 2019 (the “Merger Agreement”), by and among the Company, FS Investment Corporation III (“FSIC III”), Corporate Capital Trust II (“CCT II”), FS Investment Corporation IV (“FSIC IV”), NT Acquisition 1, Inc., NT Acquisition 2, Inc., NT Acquisition 3, Inc. and FS/KKR Advisor, LLC (the “Advisor,” and such proposal, the “Merger Proposal”); |
• | Proposal No. 2 – the approval by anon-binding, advisory vote on the issuance to all holders of the Company’s common stock following the closing of the mergers contemplated by the Merger Agreement on a pro rata basis of shares of a new class of preferred stock of the Company with an aggregate liquidation preference representing 20% of the combined company’s net asset value (the “Recapitalization Transaction Advisory Proposal”); |
• | Proposal No. 3 – the approval of the deletion of Section 10.5 of the Articles of Amendment and Restatement of the Company (the “Charter”) regarding limitations on certain affiliate transactions (the “Merger Charter Amendment Proposal 1”); |
• | Proposal No. 4 – the approval of the deletion of Article XII of the Charter regarding limitations onroll-up transactions (the “Merger Charter Amendment Proposal 2”); |
• | Proposal No. 5 – the approval of the deletion of Section 5.6 of the Charter regarding payment of dividends and distributions (the “Merger Charter Amendment Proposal 3”); |
• | Proposal No. 6 – the approval of the revision of Section 4.1 of the Charter to provide for a staggered board of directors (the “Listing Charter Amendment Proposal 1”); |
• | Proposal No. 7 – the approval of the revision of Section 6.2 of the Charter to (i) increase the vote required to effect certain changes to the Charter to 80% of all the votes entitled to be cast on the matter, and (ii) require such increased stockholder vote (i.e. 80% of all the votes entitled to be cast on the matter) to effect a liquidation of the Company or any amendment to certain Sections 4.1 or Section 4.8 of the Charter (as well as Section 4.2, 4.7, 6.1 and 6.2); provided that, if any such change or action is first approved bytwo-thirds of the existing directors, then it will require approval only by a majority of the votes entitled to be cast (the “Listing Charter Amendment Proposal 2”); |
• | Proposal No. 8 – the approval of the addition of a new Section 4.8 to the Charter regarding procedures for director removal (the “Listing Charter Amendment Proposal 3”); |
• | Proposal No. 9 – the approval of the addition of a new Section 5.5 to the Charter regarding the Company’s ability to limit a stockholder’s inspection of the Company’s books and records if it is for an improper purpose (the “Listing Charter Amendment Proposal 4”); |
• | Proposal No. 10 – the approval of the deletion of Section 5.8 of the Charter regarding restrictions on the Company’s stockholders mandated by the North American Securities Administrators Association (“NASAA”) Omnibus Guidelines (the “Listing Charter Amendment Proposal 5”); |
• | Proposal No. 11 – the approval of the deletion of Section 7.4 of the Charter providing for restrictions on the Company’s ability to advance expenses to its directors and officers and the Advisor in accordance with the NASAA Omnibus Guidelines (the “Listing Charter Amendment Proposal 6”); |
• | Proposal No. 12 – the approval of an amended and restated investment advisory agreement between the Company and the Advisor (the “Advisory Agreement Amendment Proposal”); |
• | Proposal No. 13 – the approval of the election of the following individuals, in each case subject to the conditions set forth in the joint proxy statement/prospectus: Todd Builione, Frederick Arnold, Michael Hagan and Jerel Hopkins as Class B directors, each to serve for a three-year term expiring at the 2022 annual meeting of the stockholders (the “Director Election Proposal”); |
• | Proposal No. 14 – the ratification of the appointment of Deloitte & Touche LLP as the Company’s independent registered public accounting firm for the fiscal year ending December 31, 2019 (the “Auditor Ratification Proposal”); and |
• | Proposal No. 15 – the deletion of Section 7.3 of the Charter regarding limitations on indemnification mandated by the NASAA Omnibus Guidelines (the “Listing Charter Amendment Proposal 7”). |
The Merger Proposal was approved by the Company’s stockholders at the Annual Meeting. The votes for, votes against, abstentions and brokernon-votes are set forth below:

On November 6, 2019, the Company adjourned the Annual Meeting with respect to (i) the Merger Charter Amendment Proposal 3, (ii) the Listing Charter Amendment Proposal 2, (iii) the Listing Charter Amendment Proposal 6 and (iv) the Listing Charter Amendment Proposal 7 to permit additional time to solicit stockholder votes for such proposals. The reconvened meeting (the “Reconvened Meeting”) will be held on November 22, 2019 at 12:00 p.m., Eastern Time, at 201 Rouse Boulevard, Philadelphia, Pennsylvania 19112. Valid proxies submitted prior to the Annual Meeting will continue to be valid for the Reconvened Meeting, unless properly changed or revoked prior to votes being taken at the Reconvened Meeting. The record date of August 8, 2019 will remain the same for the Reconvened Meeting.
