Explanation of Responses:

1. Shares withheld upon vesting of restricted common stock awarded to reporting person pursuant to The Chefs' Warehouse 2019 Omnibus Equity Incentive Plan (the "Plan").

2. Correcting amount of securities beneficially owned to reflect shares that were inadvertently omitted from the amount previously reported.

3. The reporting person received 7,030 shares of restricted common stock pursuant to the Plan. The forfeiture restrictions associated with this award will lapse in one-third increments as of the first through third anniversary dates of the grant date, February 25, 2020.
