Explanation of Responses:

1. Represents shares that were withheld by the Issuer to satisfy tax withholding obligations of the Reporting Person that arose upon the vesting of restricted stock. The value of such shares is based on the NYSE closing price of the Issuer's common shares on the business day immediately prior to the vesting date.

2. Included are (i) 50,000 shares of Common Stock of the Issuer held by a trust for the benefit of the Reporting Person, of which the Reporting Person serves as trustee and which he may be deemed to be the beneficial owner and (ii) 50,000 shares of Common Stock of the Issuer held by a trust for the benefit of the Reporting Person's spouse, of which the Reporting Person serves as trustee and which he may be deemed to be the beneficial owner.
