This form or one substantially equivalent hereto must be used to accept the exchange offer of Great Lakes Dredge & Dock Corporation (“Great Lakes”) made pursuant to the prospectus, dated , 2011, if certificates for the outstanding 7.375% Senior Notes due 2019 of Great Lakes (the “original notes”) are not immediately available or if the procedure for book-entry transfer cannot be completed at or prior to 5:00 p.m., New York City time, on the expiration date or time will not permit all required documents to reach Wells Fargo Bank, National Association, as exchange agent, at or prior to 5:00 p.m., New York City time, on , 2011, unless extended (the “expiration date”). Such form may be delivered or transmitted by facsimile transmission, mail or hand delivery to the exchange agent as set forth below. In addition, in order to utilize the guaranteed delivery procedure to tender original notes pursuant to the exchange offer, a completed, signed and dated letter of transmittal for original notes held in certificated form (or a facsimile of the letter of transmittal) or an agent’s message instead of a letter of transmittal for original notes held in book-entry form must also be received by the exchange agent at or prior to 5:00 p.m., New York City time, on the expiration date.
