Item 8.01 Other Events
Evergreen Sustainable Enterprises, Inc., a Delaware corporation (the “Company”), is in the process of finalizing its annual report on Form 10-K (the “10-K”) for the fiscal year ended December 31, 2022 (“Fiscal 2022”), which was originally scheduled to be filed on March 31, 2023. The Company previously filed a notification of late filing on Form 12b-25, which provided for an automatic extension of fifteen calendar days to file the 10-K. The Company’s third-party independent auditors are requiring additional time to perform audit procedures with secondary partners, review financial statements, and other information for the Form 10-K. Accordingly, the 10-K will be filed after the extension period expires.
Management anticipates filing its Form 10-K at the earliest possible date. The Company does not anticipate there will be any restatements of prior filed financial statements, nor does the company anticipate any material changes in its financial condition from the previously filed Form 10-K for the fiscal year end December 31, 2021.
