Explanation of Responses:

1. Represents 2,688 restricted stock units ("RSUs") underlying a long-term incentive award that vest as to 896 shares on each of 4/1/17, 4/1/18 and 4/1/19. Each RSU represents a contingent right to receive one share of the Company's common stock.

2. Includes (i) 316 restricted stock units that vest on 4/1/17; (ii) 831 restricted stock units that vest 416 shares on 4/1/17 and 415 shares on 4/1/18; and (iii) 2,688 restricted stock units that vest 896 shares on each of 4/1/17, 4/1/18 and 4/1/19.
