ORGANIZATION, OPERATIONS AND SIGNFICANT ACCOUNTING POLICIES Organization and Operations Iron Sands Corp. (the “Company”) was incorporated in the state of Delaware on January 18, 2011 August 26, 2015, 3 Basis of Presentation The accompanying financial statements are presented on the accrual basis of accounting in accordance with generally accepted accounting principles in the United States (“U.S. GAAP”). Effective as of December 31, 2015, March 31 December 31. 10 July 14, 2015, March 31, 2015, 10 February 8, 2016, nine December 31, 2015. 2016 10 December 31, 2016, 2015 three March 31, 2015, nine December 31, 2015, 10 Certain reclassifications have been made to the prior period balances in order to conform to the current period presentation. These reclassifications had no impact on working capital, net loss, stockholder’s deficit or cash flows as previously reported. Use of Estimates The preparation of financial statements in conformity with U.S. GAAP requires management to make estimates and assumptions that affect the reported amounts of assets and liabilities, disclosure of contingent assets and liabilities at the date of the financial statements and the reported amounts of revenues and expenses during the reporting period. On an ongoing basis, the Company evaluates its estimates and assumptions. The effect on deferred tax assets and liabilities of a change in tax rates is recognized in operations in the period that includes the enactment date. A valuation allowance is required to the extent that it is more likely than not that a deferred tax asset will not be realized. U.S. GAAP prescribes a recognition threshold and a measurement attribute for the financial statement recognition and measurement of income tax positions taken or expected to be taken in an income tax return. For those benefits to be recognized, a tax position must be more-likely-than-not to be sustained upon examination by taxing authorities. The Company’s policy is to classify penalties and interest expense related to income tax liabilities as an income tax expense. No interest or penalties related to income tax liabilities have been recognized in the statements of operations since inception.
