1. On February 16, 2018, Weird Science acquired 17,545,283 shares of the Issuer's common stock. Mr. Sandler and W. Anderson Wittekind are each managers of Weird Science and share investment control over the shares held by Weird Science, LLC.

2. Mr. Sandler was appointed as a director on February 28, 2018. Mr. Sandler was granted options valued at $45,000 to purchase shares of the Issuer's common stock vesting annually over a three year period.
