Explanation of Responses:

1. The Reporting Person forfeited, for no consideration, 50% of his ownership interest in the CGA Sponsor, LLC (the "Sponsor") and therefore reduced his pecuniary interest in the reported securities.

2. The Reporting Person shares control of the Sponsor, and in such capacity has voting and investment discretion with respect to the reported securities, which are directly held by the Sponsor. The Reporting Person disclaims beneficial ownership of the reported securities except to the extent of his pecuniary interest therein, and the filing of this statement shall not be deemed an admission of beneficial ownership of the reported securities for purposes of Section 16 or for any other purpose.
