1. Reported transaction consists of shares surrendered to cover tax withholding for the vesting of a restricted stock award received under the Company's 2012 Stock Incentive Plan.

2. Consists of restricted stock units ("RSUs") that upon vesting are settled on a one-for-one basis in shares of common stock. The RSUs will vest in four equal annual installments beginning on March 24, 2017.
