On October 27, 2020, Franchise Group, Inc. (the “Company”) commenced an offering of $650 million in aggregate principal amount of senior secured notes (the “Notes”).
On October 27, 2020, the Company issued a press release announcing, among other things, the offering of the Notes. A copy of the Company’s press release is furnished as Exhibit 99.1 to this Form 8-K and is incorporated herein by reference.
In conjunction with the offering of the Notes, the Company issued a confidential preliminary offering memorandum dated October 27, 2020 (the “Offering Memorandum”). Certain information contained in the Offering Memorandum is furnished herewith as Exhibit 99.2 and is incorporated herein by reference.
