ASSIGNMENTOFPARTNERSHIPINTEREST
THISASSIGNMENT OFPARTNERSHIPINTEREST(this"Assignment")datedasof the1stdayofOctober,2015,byandbetweenCBL/SETTLERS RIDGELP,LLC("Assignor")and INLAND REALESTATEINCOMETRUST,INC.("Assignee").
WHEREAS,AssignorandAssignee'spredecessorin interestenteredintothatcertain PurchaseandSaleAgreementandEscrowInstructionsdated as of August 21, 2015, as amended and assigned, (the"Agreement"),forthe saleand purchase of certain"OwnershipInterests"(as more particularly described inExhibit A attached here).
WHEREAS,Assignordesirestoassign,transfer,setoveranddelivertoAssigneeallof Assignor's right,titleandinterestinandto theOwnership Interests ashereinafter provided; and
WHEREAS,Assigneedesirestoaccepttheassignmentandassumethedutiesand obligationsofAssignorwithrespecttotheOwnershipInterests.
NOW,THEREFORE,inaccordancewiththeAgreementandinconsiderationofthesum of TenDollars($10.00),thesufficiencyandreceiptof which arehereby acknowledged,the partiesdo hereby covenant and agree asfollows andtake the followingactions:
1. Assignordoesherebyassign,transfer,setoveranddeliveruntoAssigneeallof theAssignor's right,titleandinterest,inandto, allofitsright, titleandinterest inandto the Ownership Interests. Assignor herebyagrees that suchassignment is andshall be irrevocable, unconditional and shall survive and shall not be affected by the subsequent dissolution, bankruptcy orinsolvency ofAssignor.
2. Assigneeherebyacceptstheforegoingassignmentof theOwnershipInterestsand herebyassumesalldutiesandobligationsofAssignorwithrespecttotheOwnership Interests, to theextent suchduties andobligationsariseoraccruefromandafter the date ofthisAssignment. Assignee shalldefend,indemnify and hold harmless Assignor fromand against any andall Claims asserted against orincurred byAssignor as a resultof anyactsoromissions,which arise or accrue after thedateofthisAssignment, in connectionwith theOwnershipInterests."Claims"meansclaims, demands, causesof action, losses,damages, liabilities, judgments, costs andexpenses (including, without limitations,reasonable attorneys' fees,whether suit is instituted or not). Notwithstanding anything to thecontrarycontained herein, duringthe Property Representations Survival Period (as such termis defined in the Agreement), Assignor shall defend, indemnify andhold Assignee harmless fromandagainstanyandall Claims (i) for personal injury which arecoveredbyAssignor's insurance resultingfrom eventsoccurring duringthe periodof ownership by O'Connor/RealVest Retail Holding Company LLCbeginning onDecember 17, 2010, and (ii) made by Barnes & NobleBooksellers, Inc., orits successors and/or assigns("B&NTenant"),withrespectto Assignor's incorrect billingof B&NTenant's prorata share of the real property taxes andassessments for yearsprior tocalendaryear 2015; provided,however, that in each caseof clauses(i) and (ii)above, Assignor's liability underthis defense, indemnityand holdharmless agreement shall be limited tothe amountof,and recoverable onlyoutof,theHoldback(as suchterm is defined inthe Agreement).
3. ThisAssignmentismadewithoutanyexpressorimplied warrantyofanykind, expectasexplicitlysetforthin the Agreement.
4. ThisAssignmentshallbe(a)bindingupon,andinuretothebenefitof,theparties tothisAssignmentandtheirrespectivesuccessorsandassigns,and (b)construed in accordance with the laws oftheCommonwealthof Pennsylvania, withoutregard to the applicationof choice oflaw principles.
5. This Assignment maybeexecuted inseveralcounterparts, eachofwhich shall constituteanoriginalandallofwhichtogethershallconstituteone and the sameinstrument.
