Explanation of Responses:

1. Consists of shares of common stock owned by FG Merger Investors LLC, which include 262,500 shares that are subject to forfeiture depending on the extent to which the underwriters of the Issuer's initial public offering exercise their over-allotment option. Hassan R. Baqar is one of the managers of FG Merger Investors LLC who have voting and investment discretion with respect to the common stock held of record by FG Merger Investors LLC. Mr. Baqar disclaims beneficial ownership of such shares, except to the extent of his pecuniary interest therein.
