Explanation of Responses:

1. The price reported in Column 4 is a weighted average price. These shares were purchased in multiple transactions at prices ranging from $13.85 to $14.00, inclusive.

2. Represents shares held by SAF Capital Management LLC and certain affiliates ("SAF Capital"). Mr. McGowan, as the managing member of SAF Capital, may direct the vote and disposition of all shares held by SAF Capital and may be deemed the beneficial owner of such shares. The Reporting Person expressly disclaims beneficial ownership of the shares reported in Table I, except to the extent of his pecuniary interest therein. The filing of this form shall not be deemed an admission that the Reporting Person is, for Section 16 purposes or otherwise, the beneficial owner of such shares.

3. The price reported in Column 4 is a weighted average price. These shares were purchased in multiple transactions at prices ranging from $13.85 to $14.15, inclusive.
