Explanation of Responses:

1. On April 14, 2016, the reporting person received restricted stock units (RSUs) which were subject to achieving certain predetermined performance conditions subject to certification by the registrant's Compensation Committee. On February 16, 2017, the registrant's Compensation Committee determined these performance conditions had been achieved. These RSUs remain subject to time vesting in three approximately equal annual installments beginning on the first anniversary of the grant date.
