Item 5.03. Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.
On March 27, 2012, the board of directors of ROI Acquisition Corp. (the “Company”) resolved to change the fiscal year end of the Company from March 31 to December 31, commencing with the 12 month period ending December 31, 2012. There is no transition period for which the Company needs to file a report.
