Explanation of Responses:

1. On May 2, 2017, Mr. Smith exchanged 3,532,500 shares of Series B Preferred Stock in the Issuer for 35,324,145 shares of the Issuer's Common Stock held by Mr. Enzo Taddei, the Issuer's Chief Financial Officer. No cash or other consideration exchanged hands in this exchange transaction. Each share of Series B Preferred Stock has 10 votes on all matters brought before meetings of shareholders, vote alongside holders of Common Stock and not as a separate class. Beginning on 11/12/17, each share of Series B Preferred Stock is convertible into 10 shares of Common Stock.

2. There is no conversion price applicable to the Series B Preferred Stock. There is no expiration date of the Series B Preferred Stock or of the right to convert into Common Stock.
