ExecutiveEmploymentAgreement
ThisExecutiveEmploymentAgreement(the“Agreement”) ismade as of10/15/14betweenAjaCannafacturingInc.with itsprincipalplaceofbusinesslocatedatNevada(the"Company") andKendall ASmith, locatedinLasVegas, NV(the"Executive").
1. TermsofEmployment
(a) Position. CompanyherebyemploystheExecutiveCEOasPresident, and the ExecutiveacceptssuchemploymentwithCompanysubjecttothetermsandconditionsofthisAgreement.
(b) Duties.Executiveshallhavesuchduties andresponsibilities asmaybeassigned bytheBoardofDirectors not inconsistentwith theposition.
(c) Dedication.Executiveshalldevotehisfullbusinesstimeandbest effortstothebusinessandaffairsoftheCompany.
(d) Performance.ExecutiveshallfaithfullyanddiligentlyperformExecutive’sdutiesinconformity with thedirectionsoftheCompanyandserve theCompanytothebestofExecutive’sabilities.
(e) PermittedActivities.Executivemay:
(i) Serve onindustry, trade,civicor charitableboardsorcommittees;
(ii) Engageincharitableactivities andcommunityaffairs; and
(iii) Managepersonal investments,aslongassuchactivities donot materiallyinterferewith theperformance of Executive'sduties andresponsibilities.
2. Compensation
(a) BaseSalary
(i) Salary.Executiveshallreceivea basesalaryin theamountof$100,000 asa"BaseSalary".
(ii) Payment.TheBaseSalary shall bepayable inaccordancewith thecustomarypayrollpracticesoftheCompany.Contract daterecognized as10/15/14.Compensationinitiationwilllaunchbased onthedateofadequate funding.Therefore,anycompensationnot paidontimewould becorrectedthrough aretro-activepayments.
(iii) Adjustments.TheBaseSalarymaybeincreasedfrom timetotimeduring thetermofthisAgreementinthesolediscretion oftheCompanyBoardofDirectors.
(b) SigningBonus.UponexecutionofthisAgreement,CompanyshallpaytoExecutiveaninitial signingbonusof1,000,000shares ofClassAConvertiblePreferredStock.
(c) Performance Bonus.Foreachfiscal year during thetermof employment,the Executiveshall beeligible toreceive abonusinarangeof10 –125%basedonperformance,andasmaybedeterminedfromtimetotime bytheBoard initsdiscretionbasedonincreaseofnew
businessrelationshipsare madeoperationalwithtransactionsandfunctioningbusinesscontractsareestablished.(Performancescale TBD)
(d) IncentiveCompensation.During thetermofemployment,theExecutiveshall beeligible toparticipatein anyequity-basedincentivecompensationplanorprogram.
PreferredStockCompensation.PreferredshareofAJACf/k/aIDSSolar Technologies(IDST) stock.Thisshallbecomeconvertibletocommonsharestoamaximumof50.1%oftheissued andoutstandingsharesofstockbasedonthedateofsigningof thiscontract. Thesewould begrantedtothe Executiveinfive (5) equal incrementsbased onthefollowingmilestones:
(i) theinitial incrementimmediatelyuponinitiationofthisAgreement.
(ii) thesecond-thirdof thebalancereleaseduponabusinessplanandintellectualPropertiesbeingdefinedanddelivered tothecompany.
(iii) FinalthirdofbalanceofpreferredstockgranteduponRevenuegoalsestablishedandapproved bythecompany’snewboardupon“ChangeofControl”going toMr.KendallA.Smith.
3. Expenses
(a) Reimbursement. Companyshallpayallreasonabletravel,diningandotherordinary,necessaryandreasonablebusinessexpensesincurredbytheExecutive in theperformance ofhisdutiesunder thisAgreement,subjecttobudgetand/or otherlimitationsor conditionsimposed bytheExecutiveCommitteeand/ortheBoard.
(b) Substantiation.The Executiveshall,as aconditionofanysuchpaymentor reimbursement,submit verification, substantiation anddocumentationofthenatureandamountofsuchexpensesinaccordancewith thepoliciesofCompanywhich issubmittalofanExpenseReportwithassociatedreceipts.
4. Holiday&Vacation.
(a) Entitlement.The Executiveshall beentitledto3weeks(15businessdays)ofvacationleave eachyearduringthetermofthis Agreementwithoutanydeductioninhiscompensation,and at suchtimeswithin eachyearasthe Executive maydetermine, takingintoaccountCompany'sscheduleand theExecutive'sdutiesrelativethereto,suchvacationleavewhichamaximumof1 weekofvacation shall becarriedoverat theend ofeachyearifnotfullyutilizedin that year.
(b) VacationBenefits uponTermination. UpontheterminationorexpirationoftheExecutive'semploymentbyCompanyunderthisAgreement,theExecutiveshall beentitled tocompensationforany unutilizedvacationleave.
(c) PaidHolidays.TheExecutiveshall beentitledto11(eleven)recognizedCompanyHolidaysannuallythatwill bepaidat throughout thedurationofemploymentagreement.
5. Benefits.
(a) Health&DentalInsurance:will beofferedtoemployeebased oncompanypolicyof50%paidcontribution bycompanyand 50%byemployee.Thisemployeebecomeseligible onfirstdayofthemonthfollowing thecompletionof90daysofemployment.This willincludeHealthandDentalInsurance.
(b) Term LifeInsurance.Inadditiontoanyterm lifeinsuranceprovidedasanoptionalpurchasetoExecutives ofCompany,Company shallpurchase aterm lifeinsurancepolicyin theamountof$1,000,000forpersonal lifeonthelife oftheExecutiveKendall ASmith, throughthecompany’sdeemedInsurancesupplier AIMProfessional Services.Executivewouldidentifybeneficiariesandthepolicyshallremain ineffectforthedurationofExecutive'semploymentwithCompanyunder thisAgreement.TheobligationofCompanytopurchase suchpolicyshallbeconditioned onExecutive'ssuccessful completionofanyrequiredmedical examination(s)suchthatthepolicycan beboughtat standardrates.TheExecutiveshall, inhissolediscretion,namethebeneficiariesofthepolicy.
(c) KeyManLifeInsurance.TheCompanyhastheright but nottheobligationforaterm lifeinsurancepolicyforAjaCannafacturingasthebeneficiaryin theamountof$1,000,000forpersonal lifeonthelifeoftheExecutive,throughthecompany’sdeemedInsurancesupplierAIMProfessional Services.Thepolicyshallremain ineffectforthedurationof Executive'semploymentwithCompany underthisAgreement.Theobligation ofCompanytopurchasesuchpolicyshall beconditioned onExecutive'ssuccessful completionofanyrequiredmedicalexamination(s)suchthatthepolicycan beboughtat standardrates.TheExecutiveshall,inhis,namethecompanyas solebeneficiary ofthepolicy.
6. Representations andWarranties.TheCompanyand theExecutiverespectivelyrepresentsandwarrantstoeachother that eachrespectivelyisfullyauthorizedandempowered toenterintotheAgreement andthat theirenteringintotheAgreement andto eachparties'knowledgetheperformance of their respectiveobligationsundertheAgreementwill notviolateanyagreementbetween theCompanyortheExecutiverespectivelyand anyother person, firmororganization oranylawor governmentalregulation.

7. ConfidentialInformation
(a) Obligation.The Executiveagreestomaintainthestrict confidentiality ofallConfidentialInformationduring thetermofthisAgreementandthereafter.
(b) Scope.Forpurposes ofthisAgreement, "ConfidentialInformation" shallmeanall informationandmaterialsofCompany,andallinformationandmaterialsreceived byCompanyfrom thirdparties(includingbut not limitedtoaffiliates,subsidiaries,chapters,andmembersofCompany), which arenot generallypubliclyavailable andall other informationandmaterialswhich areofaproprietaryor confidentialnature,eveniftheyarenotmarkedassuch.
(c) Survival. Thisprovisionshallsurvive theterminationofthisAgreementindefinitely.
8. Intellectual Property
(a) Ownership. Executiveagreesthatallcopyrights, trademarks,patents, andother intellectualpropertyrightstoworksormarksarisinginfromorinconnectionwith theExecutive'semploymentbyCompanyare"workmadefor hire"within thedefinitionof Section 101oftheCopyrightAct(17U.S.C. 101) andshallremainthesole andexclusive property ofCompany.
(b) Consultingengagementsforexecutive,inanycorrelationto anAjaCannafacturingmarket, productsor intellectualexpertisewould need tobeperformedaspartofAjaCannafacturingInc.,oranAJACwhollyownedsubsidiary.
(c) Assignmentof Interest.Totheextent any workproduct isnotdeemed tobe aworkmadefor hirewithin thedefinitionoftheCopyright Act,Executivewith effectfromcreation ofanyandallworkproduct,herebyassigns,andagreestoassign,toCompanyallright, titleandinterest inand tosuchworkproduct, includingbutnotlimited tocopyright, allrights subsumedthereunder,and all other intellectualpropertyrights,includingallextensionsand renewalsthereof.
(d) Moral Rights.Executivealsoagreesto waiveanyandallmoral rightsrelating totheworkproduct,includingbutnotlimitedto,anyandallrightsofidentificationofauthorship andanyandallrightsofapproval,restrictionor limitation onuse,andsubsequent modifications.
(e) Assistance.Executivefurtheragreestoprovideallassistancereasonablyrequested byCompany,bothduringandsubsequenttotheTermof thisAgreement, intheestablishment,preservation andenforcementofCompany'srightsin theworkproduct.
(f) ReturnofProperty.Upon thetermination ofthisAgreement,Executiveagreesto deliverpromptlytoCompanyallprinted, electronic,audio-visual,andother tangiblemanifestationsofworkproduct,includingalloriginalsandcopiesthereof.
9. Non-Competition
(a) Restrictions. During thetermof thisAgreementandforaperiodof2Yearsofdirectcompetitionimmediatelyfollowingthetermination ofthisAgreement,Executiveshallnot, directlyorindirectly,withoutthepriorwrittenconsentCompany,own,manage, operate, join, control,financeor participateintheownership,management, operation, controlorfinancingof,orbeconnectedasanofficer, director,employee,partner, principal,agent, representative,orconsultantofanyEntityengagedin theRestrictedBusinessofindustrial hemp,or medicinalmarijuana, development, production or sales intothesemarketsSolar.
(b) Exceptions.Executiveshallnotbedeemedto beincontraventionof theforegoingifEmployeeparticipates asapassiveinvestorholdingupto1% oftheequitysecuritiesofanEntity engagedintheRestrictedBusiness,whichsecuritiesarepubliclytraded.

10. Non-Solicitation.
During thetermofthis Agreementandforaoneyearperiodafter anyterminationof thisAgreement,Executivewillnot,withouttheprior writtenconsentoftheCompany,eitherdirectlyorindirectly,onExecutive's ownbehalfor inthe service oronbehalfofothers, solicitorattempttosolicit, divertorhire awayanypersonemployed bytheCompany.
11. Non-Disparagement.
(a) ExecutiveObligation.Executivewillnotat anytime, duringorafter theTerm, disparage,defameor denigratethereputation,character,image,productsorservicesoftheCompany,orofany ofitsAffiliates,or, any ofitsoritsAffiliatesdirectors,officers, stockholders, members,employeesoragents.
(b) CompanyObligation.TheCompany willnot,exceptasmayberequired by law,issueanyofficial pressrelease or statementwhich isintended todisparageExecutive.
12. Acknowledgement.
Executiveexpressly acknowledgesthatthecovenantsof thisAgreementaresupportedbygoodandadequateconsideration,andthatsuchcovenantsarereasonable andnecessary intermsofduration, scopeandgeographicarea toprotect thelegitimatebusinessinterests ofCompany.
13. TermofEmployment
(a) Initial Term.ThetermoftheExecutive'semploymentunder thisAgreement shallcommenceon theEffectiveDateandcontinueuntil 8/31/15 (the"Term"), unlesshisemploymentissoonerterminatedpursuanttotheprovisionsoftheTerminationofEmployment section.
(b) AutomaticRenewal.Commencingon9/1/15and oneachanniversary ofthatdatethereafter,theTerm shallbeextendedforanadditional oneyearperiod.
(c) NoticeNottoRenew.Either partymaygivenoticeoftheintentionnottoextendtheTerminwritingat least120dayspriorto eachsuchanniversarydate.
14. Terminationof Employment
(a) TerminationUponDeath.ThisAgreement shallterminateautomaticallyupon thedeath oftheExecutive.
(b) AutomaticTerminationUponDisability.ThisAgreement shallterminateautomaticallyuponTotalDisability oftheExecutive.
TotalDisability.TotalDisabilitymeans the Executive is unable toperformthedutiesset forth inthisAgreementforaperiodoftwelveconsecutiveweeks,or90cumulativebusinessdaysin any12-monthperiod,asaresultofphysicalor mental illnessorloss oflegal capacity.

(c) TerminationUponRetirement.TheExecutive mayvoluntarilyterminatethisAgreementatanytime byreason ofRetirement.
Retirement.Retirement isthecessationby Executive ofallfull-timeemploymentofanykind.
(d) Termination bytheCompanyForCause.TheCompanyshallhavetherighttoterminateExecutive'semployment under thisAgreementat anytimefor Cause, whichterminationshall beeffectiveimmediately. Terminationfor"Cause" shallincludeterminationfor:
(i) materialbreach ofthisAgreementby Executive;
(ii) intentional nonperformanceor mis-performanceofsuchduties,or refusal toabidebyorcomplywith thereasonabledirectivesofhissuperiorofficers,ortheCorporation'spolicies andprocedures;
(iii) Executive'sgrossnegligence intheperformanceofhismaterial dutiesunder thisAgreement;
(iv) Executive'swillful dishonesty, fraudor misconductwithrespecttothebusinessoraffairs oftheCorporation, that in thereasonablejudgmentofthePresidentand/ortheBoardofDirectors materiallyandadverselyaffectstheCorporation;
(v) Executive'sconvictionof,orapleaofnolocontendereto,aClassIorIIfelonyorother crimeinvolving;
(vi) thecommissionofanyactindirector indirect competitionwith ormateriallydetrimentaltothebestinterestsofCorporationthatisinbreach ofExecutive s fiduciarydutiesofcare, loyaltyandgoodfaithtoCorporation.
Causewillnot,however,include anyactions or circumstancesconstitutingCauseunder (i)or (ii)above ifExecutive curessuchactionsor circumstanceswithin 30daysofreceiptofwrittennoticefromCorporationsettingforththeactionsorcircumstancesconstitutingCause.IntheeventExecutive'semploymentunder thisAgreement isterminatedfor Cause,Executiveshallthereafterhave noright toreceivecompensationorother benefitsunder thisAgreement.
Exception to beexpensesand anyearnedincome uptothat point intime.
(e) Termination bytheCompanyWithoutCause.TheCompanymayupon a majorityvoteoftheBoard ofDirectors,terminatetheExecutive'semploymentunder thisAgreementwithoutCause atanytimeupon120daysprior writtennotice totheExecutive.Executiveshall beentitled toSeveranceBenefitsasstatedintheTerminationBenefitssection.
(f) TerminationUpon aChange inControl.If theExecutive'semploymentisterminatedbytheCompanywithoutCause orbytheExecutiveforGood Reasoninconnectionwith orwithintwoyearsafterChangeinControl,the Executiveshall beentitledtoSeveranceBenefitsasstatedintheTerminationBenefitssection.
(g) Changein Control.Forpurposesof thisAgreement,unlesstheBoarddeterminesotherwise,aChange of ControloftheCompanyshall bedeemedtohaveoccurredatsuchtimeas:
(i) anyperson(astheterm isusedinSections13(d)and14(d)oftheSecuritiesExchange Actof1934,asamended(theExchangeAct)) isor becomesthebeneficial
owner(asdefinedinRule 13d-3undertheExchangeAct), directlyor indirectly,ofvotingsecuritiesoftheCompanyrepresentingmorethan50%oftheCompanysoutstandingvotingsecuritiesor rightstoacquiresuchsecuritiesexceptfor anyvotingsecuritiesissued or purchasedunderanyemployeebenefit planoftheCompanyor itssubsidiaries;or
(ii) anysale,lease,exchangeor other transfer (in onetransactionoraseriesoftransactions)ofall or substantiallyall oftheassetsoftheCompany;or
(iii) aplanofliquidation oftheCompanyoranagreementforthesaleorliquidationoftheCompanyisapprovedandcompleted;or
(iv) theBoarddeterminesin its solediscretionthataChange inControlhasoccurred,whetherornot anyeventdescribedabove hasoccurredor iscontemplated.

(h) Termination bytheExecutive forGood Reason.TheExecutivemayterminatehisemploymentunder thisAgreementfor GoodReason,inwhich casetheExecutiveshall beentitled toSeveranceBenefitsasstatedintheTerminationBenefitssection.Forpurposes ofthisAgreement, "GoodReason"shallmeantheoccurrence ofany ofthefollowingeventswithouttheExecutive'swrittenconsent:
(i) amaterialdiminutionoftheExecutive'stitle,authority, status, dutiesorresponsibilities;
(ii) anyreductionintheExecutive'sBaseSalary;
(iii) amaterialbreachbytheCompany of thisAgreement;or
(iv) theCompanyrequiresExecutive tolocatehisofficeto alocationmore thanfiftymilesoutside ofthemetropolitan areaoftheExecutive'shomecity.
(i) TerminationbytheExecutiveWithout GoodReason.The Executive mayterminatehisemploymentunder thisAgreementatanytimeforanyreason ornoreasonbygivingtheCompany30dayspriorwrittennoticeofthetermination.Followinganysuchnotice,theCompanymayreduceor remove anyandallofExecutive sduties,positionsandtitleswith theCompany, and anysuchreductionor removal shallnotconstituteGoodReason.
(j) NoticeRequirements.AnyTermination bytheCompanyforCause,orby Executive forGoodReason, shall becommunicated byNoticeofTerminationtotheotherpartyheretogiveninaccordance with theNoticesectionof thisAgreement.Forpurposes ofthisAgreement,a"Noticeof Termination" means awrittennoticewhich:
(i) indicatesthespecificterminationprovisioninthisAgreement reliedupon,
(ii) totheextent applicable,setsforth inreasonabledetail thefactsandcircumstancesclaimed toprovide abasisfor terminationofExecutive'semployment undertheprovisionsoindicatedand
(iii) iftheDate of Termination (asdefinedbelow)isother thanthedateof receiptofsuchnotice,specifiestheterminationdate.
Thefailureby Executive ortheCompanytosetforthin theNotice of Terminationanyfactorcircumstance whichcontributesto ashowingof GoodReasonorCauseshallnotwaive anyrightofExecutive ortheCompany,respectively,hereunderor precludeExecutive ortheCompany,respectively,from assertingsuchfactorcircumstanceinenforcingExecutive'sortheCompany'srightshereunder.
(k) DateofTermination."Dateof Termination" means:
(i) iftheExecutive'semploymentisTerminated bytheCompanyforCause,orbytheExecutivefor GoodReason,thedateof receiptoftheNotice of Termination or anylaterdatespecifiedtherein,asthecasemaybe,
(ii) iftheExecutive'semploymentisterminatedbytheCompanyother thanforCauseorDisability,theDateof Terminationshall bethedate on which theCompanynotifiestheExecutiveofsuchterminationand
(iii) iftheExecutive'semploymentisterminatedbyreasonof death,RetirementorDisability,theDateof Terminationshall bethedateofdeathorRetirementoftheExecutive ortheDisabilityEffectiveDate,asthecase may be.
(l) Release.NotwithstandinganythingintheSeveranceBenefitssectionto thecontrary, in noeventshall theExecutive beentitledtoreceive anyamounts, rightsor benefitsundertheSeveranceBenefitssectionunlesstheExecutiveexecutes a releaseofclaimsagainsttheCompany.

15. Compensation UponTermination
(a) AccruedObligations."AccruedObligations" shallmean,asoftheDateof Termination,thesumof:
(i) theExecutive'sbasesalary under thisAgreement throughtheDate ofTerminationtotheextentnot theretoforepaid,
(ii) theamountofanydeferredcompensationandothercashcompensationaccruedbytheExecutive asoftheDateof Terminationtotheextent nottheretoforepaid,
(iii) anyvacationpay,expensereimbursementsandothercashentitlementsaccruedbytheExecutive asoftheDateof Terminationtotheextent nottheretoforepaid,
(iv) anygrantsandawardsvestedor accruedunderanyequity-basedincentivecompensationplan or program and
(v) all other benefitswhichhaveaccruedasof theDateof Termination.Forthepurposeof thisdefinition, exceptasprovidedintheapplicableplan,programorpolicy,amounts shall bedeemed toaccrueratablyovertheperiodduringwhichtheyareearned, butnodiscretionary compensationshallbe deemedearnedor accrueduntilitisspecificallyapproved by theBoardinaccordancewith theapplicableplan, programorpolicy.
WithrespecttotheprovisionofOther Benefits, theterm Other BenefitsasutilizedinthisSectionshallinclude,withoutlimitation, andExecutiveshall beentitledaftertheDisabilityEffectiveDatetoreceive.
(b) SeveranceBenefits."SeveranceBenefits"shallmean,asoftheDate of Termination,anamount equaltothesumof(i)six(6) months oftheExecutive'sthen-currentannual basesalary.
(c) Additional Compensation.Reimbursementofanyandallexpensesaccrued uptothatseparationdate.
(d) Cause; WithoutGoodReason.IftheExecutive'semployment isterminatedBytheCompanyForCauseorBytheExecutiveWithout GoodReasonduringtheEmployment Period,theCompanyshallprovide totheExecutive theAccruedObligations, andshallhave no otherseveranceobligationsunder thisagreement.Insuchcase,allAccruedObligationsshall bepaidtotheExecutive in alump sum in cash within 30daysoftheDate of Termination.
(e) Without Cause; WithGoodReason.IftheExecutive'semploymentisterminatedBytheCompanyWithout Causeor BytheExecutiveWith GoodReasonduringtheEmploymentPeriod,theCompanyshallprovide to theExecutive theAccruedObligationsandtheSeveranceBenefitsasdescribedabove.Insuchcase,allAccruedObligationsshallbepaid totheExecutive in alump sumin cashwithin30daysoftheDateof TerminationandallSeveranceBenefitsshall bepayable insubstantiallyequalmonthlyinstallmentsforaperiodof12 months(the"SeverancePeriod") inaccordancewith theCompany'sregularpayrollpractices.
(f) Death,DisabilityorRetirement. IfExecutivesemploymentisterminated byreason ofExecutive’sdeath,DisabilityorRetirement,theCompanyshallpaytothe Executive (ortheExecutive’sestateor beneficiaries)theAccruedObligations.Insuchcase,allAccruedObligationsshall bepaidtotheExecutive in alumpsum in cash within 30daysofExecutive’sdeath,DisabilityorRetirement.
(g) Natureof Payments.Anyamountsdueunder thisSectionarein thenature ofseverancepaymentsconsideredtobereasonable bytheCompanyand are notinthenatureofapenalty.
16. Indemnification.TheCompanyshallindemnifytheExecutive,tothemaximumextentpermitted byapplicablelawand byitscertificateofincorporation,against all costs,charges andexpensesincurredor sustained bythe Executive inconnectionwith anyaction, suitorproceeding to which hemaybemade apartybyreasonofbeing anofficer, directororemployeeoftheCompanyorofanysubsidiaryoraffiliate oftheCompanyor anyothercorporationforwhich theExecutiveserves ingoodfaith as anofficer,director,oremployee attheCompany'srequest.

17. GeneralProvisions
(a) EntireAgreement. ThisAgreement constitutestheentireagreementbetween theparties, andsupersedesallprior agreements, representationsandunderstandingsoftheparties,writtenororal.
(b) Counterparts.ThisAgreementmaybeexecutedincounterparts, eachofwhichshall bedeemedto beanoriginal,butallofwhich,takentogether,shallconstituteone andthesameagreement.
(c) Amendment. ThisAgreementmaybeamendedonlybywrittenagreementoftheparties.
(d) Notices.Allnoticespermittedor requiredunder thisAgreement shallbe inwritingandshallbedeliveredin personor mailed byfirst class, registeredor certifiedmail, postageprepaid,totheaddressofthepartyspecifiedinthis Agreementorsuchother addressaseither partymayspecifyinwriting. Suchnoticeshall bedeemedtohave beengivenuponreceipt.
(e) Assignment.ThisAgreementshallnotbeassigned byeitherpartywithouttheconsentoftheother party.
(f) GoverningLaw.ThisAgreement shall begoverned byandconstruedinaccordancewith thelawsoftheState ofCalifornia,without regardto itsconflictoflawsrules.
