Item 1.01. Entry Into a Material Definitive Agreement.
On March 28, 2022, 34th Street Funding, LLC (“34th Street”), a wholly-owned, special purpose financing subsidiary of CĪON Investment Corporation (“CION”), entered into a First Amendment to Third Amended and Restated Loan and Security Agreement (the “First Amendment”) with JPMorgan Chase Bank, National Association (“JPM”), as lender and administrative agent, U.S. Bank Trust Company, National Association, as collateral agent and collateral administrator, U.S. Bank National Association, as securities intermediary, and CION Investment Management, LLC, CION’s investment adviser, as portfolio manager.
Under the First Amendment, the aggregate principal amount available for borrowings was increased from $575,000,000 to $675,000,000, subject to conditions described in the First Amendment. Additional advances of up to $100,000,000 under the First Amendment bear interest at a floating rate equal to the three-month Secured Overnight Financing Rate (“SOFR”), plus a credit spread of 3.10% per year, and a London Interbank Offered Rate to SOFR credit spread adjustment of 0.15%.
34th Street incurred certain customary costs and expenses in connection with the First Amendment. No other material terms of the JPM credit facility were revised in connection with the First Amendment.
