Explanation of Responses:

1. The price reported in Column 4 is a weighted average price. The shares were sold in multiple transactions at prices ranging from $1,172.63 to $1,173.62, inclusive. The Reporting Person undertakes to provide to any security holder of Alphabet Inc. or the staff of the Securities and Exchange Commission, upon request, full information regarding the number of shares sold at each separate price within the ranges set forth in footnotes (1) through (9) to this Form 4.

2. The price reported in Column 4 is a weighted average price. The shares were sold in multiple transactions at prices ranging from $1,176.05 to $1,177.04, inclusive.

3. The price reported in Column 4 is a weighted average price. The shares were sold in multiple transactions at prices ranging from $1,177.68 to $1,178.67, inclusive.

4. The price reported in Column 4 is a weighted average price. The shares were sold in multiple transactions at prices ranging from $1,178.90 to $1,179.89, inclusive.

5. The price reported in Column 4 is a weighted average price. The shares were sold in multiple transactions at prices ranging from $1,179.94 to $1,180.93, inclusive.

6. The price reported in Column 4 is a weighted average price. The shares were sold in multiple transactions at prices ranging from $1,180.96 to $1,181.95, inclusive.

8. Class A Google Stock Units (GSUs) entitle the Reporting Person to receive one share of Alphabet Inc. Class A Common Stock for each share underlying the GSU as GSU vests. The GSUs vest as follows: 1/72 of GSUs vested on May 25, 2013 and an additional 1/72 vests monthly thereafter until the GSUs are fully vested, subject to continued employment on such vesting dates.

9. Class C GSUs entitle the Reporting Person to receive one share of Alphabet Inc. Class C Capital Stock for each share underlying the GSU as GSU vests. The GSUs vest as follows: 1/72 of GSUs vested on May 25, 2013 and an additional 1/72 vests monthly thereafter until the GSUs are fully vested, subject to continued employment on such vesting dates.

10. 1/16th of the GSUs vested on March 25, 2016, and an additional 1/16th of the GSUs vests quarterly thereafter until the GSUs are fully vested, subject to continuing employment on such vesting dates.

11. Option is fully vested.
