Explanation of Responses:

1. These shares were acquired through an exercise of a stock option granted in 2008 under the Company's 2005 Long Term Incentive Plan.

2. Price reflects the exercise price of the option granted on November 17, 2007.

3. There is no price associated with acquiring this derivative security since it was acquired pursuant to an employee benefit transaction under the Company's Omnibus Long Term Incentive Plan.

4. Shares were sold in compliance with the Company's share ownership guidelines whereby the executive may sell shares once they hold sufficient shares to meet ownership guidelines. After sale, reporting person still maintains stock ownership of 150% of his required ownership guideline.
