Explanation of Responses:

1. 1/3 of the stock units will vest on March 6, 2016, 1/3 on March 6, 2017 and 1/3 on March 6, 2018.

2. Each stock unit represents a conditional right to receive one share of the Issuer's Common Stock.

3. The number of shares of Common Stock that will be delivered for each performance stock unit depends on the achievement of certain performance factors. Depending on actual performance, the number of shares of Common Stock delivered upon vesting can range from 0% to 150% of the number presented above.

4. 1/2 of the stock units will vest on March 7, 2016 and 1/2 on March 7, 2017.

5. All of the stock units will vest on March 27, 2016.
