2. hese shares of Common Stock reflect a grant of restricted stock units pursuant to the Issuer's 2013 Omnibus Non-Employee Director Incentive Plan. The number of restricted stock units granted was determined by reference to the closing price of a share of the Issuer's Common Stock on October 31, 2019, the appointment date.
